Terms of Service

The agreement between you and OrderDiff covering accounts, plans, acceptable use, and the limits of what the service promises.

1. Who I am

OrderDiff is operated by me personally, Waleed AboHashima ("I", "me"), an individual based in Egypt. These Terms govern your use of the OrderDiff website and application (the "Service").

By creating an account or using the Service you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind that company.

2. What the Service does

OrderDiff compares a purchase order against a supplier confirmation and reports the differences it finds between them — changes in price, quantity, delivery date, item code, and lines that are missing or unexpected.

  • The Service reports differences. It never places, amends, accepts or cancels an order on your behalf.
  • The Service does not give commercial, legal, accounting or tax advice.
  • You remain responsible for every decision you take about your orders and suppliers.

3. Accuracy and your responsibility

The Service reads the documents you upload and applies deterministic comparison rules to them. The quality of the result depends on the quality and structure of those documents.

I do not warrant that the Service will identify every difference between two documents, nor that every difference it reports is commercially significant. Findings are a starting point for your own review, not a substitute for it.

You should not rely on the Service as the sole control over payments, goods receipt, or contractual acceptance.

4. Accounts and organizations

You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account.

Data in the Service belongs to an organization. The person who creates an organization is its owner and controls its plan and settings. Members can see everything in the organizations they belong to.

You must be at least 18 years old and using the Service for business purposes.

5. Acceptable use

You agree not to:

  • upload content you do not have the right to upload, or that contains malware
  • attempt to access another organization’s data, or probe, scan or test the security of the Service without my written permission
  • use automated means to place unreasonable load on the Service, or circumvent usage limits
  • resell or white-label the Service without a written agreement with me
  • reverse engineer the Service except to the extent that restriction is prohibited by law

6. Your content

You keep all rights in the documents and data you upload. You grant me only the licence needed to host, process and display that content in order to provide the Service to you.

Documents uploaded to the free analyzer are processed in memory for the duration of the request and are not stored. When you run a check inside an organization, I store the findings and the file names, not the source files themselves.

I may use aggregated, de-identified statistics about how the Service is used to improve it. This never includes your document contents or anything identifying you or your suppliers.

7. Plans, billing and cancellation

Paid plans are billed in advance through my payment provider, Paddle, which acts as merchant of record. This means Paddle — not I — is the seller of record for your purchase, and your receipt and invoice come from them. Prices are shown on the pricing page and may change with notice for future billing periods.

Every paid plan starts with a 7-day free trial. You are not charged until the trial ends, and cancelling before it ends costs you nothing.

Usage limits apply per organization per calendar month and are described on the pricing page.

You can cancel at any time from the billing page. Cancellation takes effect at the end of the period you have already paid for; the organization then reverts to the Free plan.

Refunds are governed by the Refund Policy, which forms part of these Terms and gives you 14 days from a charge to ask for your money back.

If payment fails I may suspend paid features after a grace period.

8. Availability

I aim to keep the Service available but do not guarantee uninterrupted access. I may change, suspend or discontinue features, and will give reasonable notice of material adverse changes where I can.

Planned maintenance may cause short interruptions.

9. Intellectual property

The Service, including its software, design and content, remains my property or that of my licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active.

If you send me feedback or suggestions, I may use them without obligation to you.

10. Termination

You may stop using the Service and delete your account at any time.

I may suspend or terminate access if you materially breach these Terms, if required by law, or if your use poses a risk to the Service or other customers. Where practical I will warn you first.

On termination your right to use the Service ends. I may delete your data after a reasonable period; export anything you need before closing your account.

11. Disclaimers and liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose.

To the fullest extent permitted by law, my total aggregate liability arising out of or relating to the Service is limited to the amount you paid me in the twelve months before the event giving rise to the claim.

I am not liable for indirect or consequential loss, loss of profit, loss of contracts, or losses arising from commercial decisions you take based on the Service’s output.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

12. Changes to these Terms

I may update these Terms. If a change is material I will give notice by email or in the application before it takes effect. Continuing to use the Service after that date means you accept the revised Terms.

The version and effective date shown at the top of this page identify the revision currently in force.

13. Governing law

These Terms are governed by the laws of the Arab Republic of Egypt, where I am based. Any dispute arising out of them is subject to the non-exclusive jurisdiction of the courts of Cairo, Egypt. "Non-exclusive" means neither of us is confined to those courts where another has proper jurisdiction.

If you are a consumer, nothing in this section removes the mandatory protections of the law of the country where you live, or your right to bring a claim in your local courts. Those rights apply whatever this agreement says.

Payment itself is handled by Paddle as merchant of record, so the buyer terms you accept at checkout govern the transaction alongside these Terms.
